Barco to acquire Vervent Audio

I’d say, it’s the survival of those who can turn a consistent profit and generate sustaining cashflow. As you record above, several names/brands have changed hands and things have changed behind the scenes, often not for the good. It’s a changing/changed marketplace out there at the moment, and there appears very good reason to pause and not commit material R&D to new products which may see little demand - flip side, Naim aren’t able to produce the likes of the SN3(4?) at the moment (although ‘4’ may be coming?), which seems a key entry-point to the brand. This must be a concern, and from what I read/see of the UK marketplace, Naim’s once very broad representation is now much reduced. Once upon a time, Naim’s base would generate suitable demand for the likes of the Superline, but now?

Those who think that Naim will now be positioned to get ‘the investment it needs’ aren’t seeing the bigger picture IMHO. Things are far more complex than this when doing ‘business case’ analyses for ‘investment’.

Least biggest surprise would be to see Barco acquired shortly afterwards after the revenue bolted on and PE comes a knocking.

There’s a lot of PE firms that love a bit of healthcare, the mix at Barco could be seen a safe bet.

It will obviously come down to loads of different reasons, like why are they buying it in the first place, to get the speaker’s or naim. Probably the speaker side looking at what they do but no one knows on here for sure.
Hopefully it will go well but only time will tell, obviously Richard has to say only positive things as that’s part of his job.
They may try to sell the naim side off, or they could invest in it and let them run with new products, etc.

But obviously this has been on the table for a while now and not something that happens over night. So looking at what’s been going on with naim then i certainly see a pattern and its starting to explain why things have happened lately, trying to get the ship move ship shape if you know what i mean.

This is bang on. Most companies sell for more money than they were bought for. So the more times a company is bought and sold, the higher the price and the more pressure applied to the balance sheet and cash flow.

Unless there’s some blockbuster new products in the pipeline with high margins, I think we’re going to see a systematic culling of a lot of things.

Indeed. Most acquisitions are obvious about 18 months ahead of time to the people within the company but outside of the secretive C circle. Slash services and costs to an unsustainable level but artificially tilt you your P&L and balance sheet to look attractive for a potential buyer. That state of affairs can only last 1-2 years (max) before billings drop dramatically (due to the cuts made to products and services) and within that time you need to find your buyer.

But usually the buyer then wants to “trim the fat” of the acquired company to make it lean and more profitable despite the fact an unsustainable level of cuts were made to get acquired in the first place. I’ve experienced this first hand several times now.

Barco, luckily, make things. Pure PE does indeed often try and flip companies for a profit within a couple years or liquidate them for cash. So there is valid reason to be optimistic here. But any big strategic changes won’t start emerging clearly for a couple years. Any big shifts we see between then and now are likely for stuff already in the roadmap from a while back.

The revenue added takes parent through the 1000m barrier I believe, there will be payouts, bonuses , all sorts off this deal.

I can only think that tariffs for the US market have also impacted on Naim/Focal. It did for Rega so they infiltrated markets which they prior deemed not too promising and found it made up for the losses.

After a bit of reflection, I find myself feeling fairly optimistic about the Barco news this morning, but I’m curious how others see it.

It seems to me that hi‑fi is now either largely software‑led (streaming, DSP, room correction, etc.), or at least at a point where software and hardware carry roughly equal weight. I appreciate that this won’t align with the preferences of many long‑standing, pre‑New Classic / Uniti Naim fans, but I do wonder whether the era of double‑stacked Fraims, multiple hardware permutations, and endless cable choices is realistically coming back. The dealer‑led model that supported that approach appears to be contracting, along with its natural customer base.

From Barco’s point of view, Naim strikes me as an attractive proposition. How many hi‑fi companies are there today that can genuinely support deep software and hardware engineering in‑house, while also carrying a strong brand and long history? Linn comes to mind, but beyond that the field feels quite small. Many other manufacturers still seem focused on selling large, analogue‑era hardware stacks (often with DACs bolted on), or they rely heavily on third‑party apps and operating systems over which they have limited control.

I also wonder how much of the valuation Barco has placed on Focal/Naim is driven by the NP800 streaming platform and the opportunities it creates for future, software‑led development. My guess would be that this IP featured highly in the buyers model as a future cash generating model.

Interested to hear whether others share this view, or see the Barco move playing out very differently.
